the bottom of the page there should be no comma after the words "paid up".

Clause 77. This clause is not in the Imperial Act,

and the duties of directors in this country are provided

for in the articles of association. There is, however,

no reason why clause 77, which reproduces part of Table

A (being the model form of articles of association ap- proved by the Board of Trade), should not be included

in the Ordinance.

Clause 83(8). The word "section" in the margin seems

to be accurate and should be incorporated in the sub-

section.

Clause 92. The word "the" in the margin should be

substituted for the word "that" in the text.

The sug

gestion to insert the word "specifically* in the next line seems undesirable and seems to add nothing to the meaning of the sub-section.

Clause 95(1). This clause provides that every mort- gage or charge shall be void unless prescribed particu- lars of the mortgage or charge are delivered to the reg- istrar within five weeks after the date of its creation. In the proviso relating to mortgages or charges created out of the Colony a period of twenty-one days is twice mentioned: but if the proviso is to be brought into harmony with 95(1), apparently a period of five weeks should be substituted for twenty-one days in each case. Twenty-one days is the period mentioned in the Imperial
